Ocean Sun AS: Private Placement successfully placed

Reference is made to the press release from Ocean Sun AS (the “Company”) published on 12 October 2020 regarding a contemplated private placement (the “Private Placement”) and admission to trading on Merkur Market (the “Listing”).

The Company is pleased to announce that the Private Placement has been successfully placed through the allocation of 5,555,500 new shares in the Company (the “New Shares”) at a price of NOK 18.00 per share (the “Offer Price”), raising gross proceeds of approximately NOK 100 million, and 2,777,500 existing shares in the Company at the Offer Price by certain existing shareholders (the “Selling Shareholders”) with gross proceeds of approximately NOK 50 million (“Secondary Shares”, and together with the New Shares, the “Offer Shares”).

The Private Placement attracted strong interest from international high-quality institutional investors and well reputed Norwegian and Nordic institutions and family offices, and was well oversubscribed.

“I am very pleased with the investor interest we have received in the placement. We see multiple growth opportunities within floating solar. A listing on Merkur Market facilitates a foundation to leverage years of development and testing, as well as pursue growth opportunities going forward,” said Chief Executive Officer Børge Bjørneklett.

The net proceeds from the issue of the New Shares are expected to be used to expand the organization, fund continued research and development, as well as working capital and general corporate purposes. The net proceeds from any sale of Secondary Shares will be for the benefit of the Selling Shareholders.

Members of the Company’s Board and the CEO, as well as the Selling Shareholders and certain other existing large shareholders, have (subject to certain exemptions) entered into customary lock-up arrangements with the Manager, with a lock-up period of 6 months.

Completion of the Private Placement is subject to, inter alia, (i) all corporate resolutions of the Company required to implement the Private Placement being validly made, including the Company’s board of directors’ resolution to proceed with the Private Placement and to issue the New Shares, (ii) payment being received for the Offer Shares, (iii) registration in the Norwegian Register of Business Enterprises of the share capital increase pertaining to the New Shares, and (iv) the Company’s shares being approved for admission to trading on Merkur Market (jointly, the “Conditions”). There can be no assurance that these Conditions will be satisfied. If the Conditions are not satisfied, the offering may be revoked or suspended without any compensation to applicants.

The Company will have 44,986,200 shares in issue, each with a nominal value of NOK 0.01, following completion of the Private Placement.

Conditional allocation to investors will be communicated on or about 16 October 2020, with payment date on or about 20 October 2020 and completion of transfer of the Offer Shares to the investors on or about 26 October 2020, subject to satisfaction of the Conditions.

The Company has applied for, and expects, subject to successful completion of the Private Placement and the necessary approvals from the Oslo Stock Exchange, having its shares admitted to trading on Merkur Market, a multilateral trading facility operated by the Oslo Stock Exchange. The first day of trading on Merkur Market is expected to be on or about 26 October 2020.
